SECTION 1.  The name of this Organization shall be Graeagle Meadows Women’s Golf

SECTION 2.  The purpose shall be to promote and advance amateur golf and golfing
activities, to observe and enforce the rules and etiquette of golf, and to encourage high
standards of sportsmanship.


SECTION 1.  The membership shall consist of any women eighteen (18) years of age or
older who have been duly and regularly admitted to membership in the Graeagle
Meadows Women’s Golf Club and who have paid dues as provided.

SECTION 2.  Newly affiliated members wishing to enter competition must have an
established U.S.G.A. handicap or a temporary handicap computed by turning in ten (10)
score cards, attested, dated and signed, with no incomplete holes.

SECTION 3.  The acceptance of membership into the Organization shall bind each
member to abide by all the rules, conditions and regulations of the Organization.

SECTION 4.  Social membership will be accepted into the Organization for the purpose
of participating in only the social functions of the Organization.

SECTION 5.  Associate membership will be accepted into the Organization solely for the
purposes of establishing and maintaining a U.S.G.A handicap and attending
Organization social functions.

SECTION 6.  Female junior golfers, seventeen (17) years of age and younger, will be
accepted for membership into the Organization solely for the purpose of establishing
and maintaining a U.S.G.A. handicap.

SECTION 7.  The Board of Directors, by a majority vote, stipulates that there be no
additional honorary members and no additional honorary social members of the
Organization.  Those who have been designated honorary or honorary social members
in the past and to date will continue to be listed as honorary social members and to have
all fees waived.

SECTION 8.  The Board of Directors, after a fair hearing, shall have the authority to expel
a member whose conduct is considered by them to be a discredit to the Organization.


SECTION 1.  Dues for the ensuing year shall become due and payable on November 1
and delinquent on December 1.  Any member delinquent in payment of dues shall not be
eligible to participate in any Graeagle Meadows Women’s Golf Club activities and shall
not appear in the GMWGC Roster.  Any member withdrawing from membership shall not
be entitled to any refund of dues paid, except by special action of the Board.

SECTION 2.  It shall be the duty of the Board to set the amount of membership dues for
each year, or part of year.  Any increase in dues shall be voted on and approved by the
membership at a General Meeting.


SECTION 1.  The government and management of this Organization shall be vested in
the membership.

SECTION 2.  The elected officers shall consist of Captain, Co-Captain, Secretary and
Treasurer.  The Captain shall appoint the Tournament Chairman, Play Day Chairman,
Handicap Chairman, Rules & Greens Chairman, Membership Chairman, Pacific
Women’s Golf Association (PWGA) Representative, and any other Chairman or
Committee Member deemed necessary by the Captain.

SECTION 3.  The governing body shall be the Board of Directors and shall consist of the
following:  Captain, Co-Captain, Secretary, Treasurer, Tournament Chairman, Play Day
Chairman, Handicap Chairman, Rules & Greens Chairman, Membership Chairman and
PWGA Representative.  The immediate Past Captain shall remain on the Board of
Directors for one (1) year as an “Advisor” with no voting privileges.

SECTION 4.  Officers shall be elected for a one (1) year term, but may serve, if re-
elected, for more than one (1) term.  The Captain may serve for no more than two (2)
consecutive terms.  Each candidate for office shall have been a member of the
Organization in good standing for at least one (1) year prior to election and have dues

SECTION 5.  The Nominating Committee, appointed pursuant to Article VI, shall report
its slate of nominees for Captain, Co-Captain, Secretary and Treasurer to the
membership of this Organization and post the slate of nominees on the bulletin board of
the Organization at least three (3) weeks prior to the General Membership Meeting at
which the election of officers shall occur.

SECTION 6.  The annual election of officers shall be at the September General
Membership Meeting.  Further nominations may be made from the floor at the meeting.  
If there is more than one (1) nomination made for any office, voting must be by written

SECTION 7.  Each elected officer shall take her respective office on November 1st.

SECTION 8.  If any vacancy occurs on the Board of Directors the Captain shall appoint a
member to fill the vacancy.  The person so appointed shall hold office for the unexpired
term of her predecessor.  The Co-Captain automatically succeeds the Captain in the
event of a vacancy in that position.


SECTION 1.  There shall be an Annual General Membership Meeting in September, at
such time and place as the Board of Directors shall designate, to consider and act upon
the following:

The Captain’s report, which shall include a summary of business and issues of the past
The financial report of the Treasurer.
Election of Officers for the ensuing year.
Any other business deemed pertinent.

SECTION 2.  SPECIAL MEETINGS:  Special meetings of the general membership may
be called by the Captain or the Board of Directors, or by petition of fifteen (15) percent of
the general membership.

SECTION 3.  NOTICE OF MEETINGS:  There shall be twenty (20) day notice of the time
and place of the Annual General Membership Meeting and ten (10) day notice of the
time and place of any other General Membership Meeting.  Any notice of a special
meeting shall contain a statement of matters to be considered.

SECTION 4.  VOTING PRIVILEGES:  Each member in good standing shall be entitled to
one (1) vote at any regular or special General Membership Meeting.  A majority vote
shall determine all matters.  Voting may be either by written ballot or by show of hands,
and shall be determined by the presiding officer.

SECTION 5.  REMOVAL OF DIRECTORS:  Any or all Directors may be removed from
office at any time by a two-thirds vote of the members present at any General
Membership Meeting called for such purpose.

SECTION 6.  QUORUMS:  Five (5) members shall constitute a quorum at any Board of
Directors meeting; twenty (20) members shall constitute a quorum at any regular or
special General Membership Meeting.


SECTION 1.  CAPTAIN:  Shall preside at all regular and special meetings of the
membership and the Board.  She shall make up the yearly schedule of tournaments and
Play Day events in coordination with the Tournament Chairman and Play Day Chairman.  
She shall represent the Organization in all inter-club activities.  She shall appoint the
appointive officers listed in Article IV and any special committees as needed.  By July,
she shall appoint a Nominating Committee of three (3) members to propose names for
the election of Captain, Co-Captain, Secretary and Treasurer for the following year.  She
shall be an ex-officio member of all committees.  She or the Treasurer shall sign all
checks and shall have such other duties and responsibilities as are vested in her by
these By-Laws or by action of the Board.

SECTION 2.  CO-CAPTAIN:  Shall act as assistant to the Captain and shall assume her
responsibilities in case of the Captain’s absence.  She shall attend all meetings and
conferences attended by the Captain.  She shall act as Secretary for all Club or Board
meetings in the absence of the elected Secretary.  She shall serve as food coordinator
for all Organization functions that include food service, except the Mini-Ha-Ha, Invitational
and Turd Tournaments, and the Awards and Christmas Luncheons, and shall maintain
the Organization’s bulletin boards.  She shall automatically be a candidate for Captain
for the following year, if she is willing to so serve.

SECTION 3.  SECRETARY:  Shall keep full and complete records of the proceedings of
the Board of Directors and the General Membership meetings, and shall provide the
Captain with a copy of all minutes and correspondence and retain a copy for her
records.  She shall serve all notices required by law or the By-Laws of the Organization.
She shall perform all other duties as may be prescribed from time to time by the Board
of Directors and shall attend to all correspondence as directed by the Captain.

SECTION 4.  TREASURER:  Shall keep an accurate record of all monies of this
Organization.  She shall pay all authorized bills owed by this Organization.  She shall
prepare and read a financial report at every meeting, providing a copy of the report for
the Secretary.  She shall collect all dues owed this Organization.  She shall submit her
books annually to an auditor selected by the Board.

SECTION 5.  TOURNAMENT CHAIRMAN:  Shall assist the Captain in making up the
yearly schedule of tournaments and Play Day events in coordination with the Play Day
Chairman.  She shall supervise the Captain’s Cup and Club Championship.  She shall
be responsible for scoring of tournaments with the Play Day Chairman.  She shall
determine distribution of Play Day funds.  In cooperation with the Rules & Greens
Chairman, she shall determine when winter or summer rules will go into effect.  She shall
be responsible for eligibility of tournament entrants in coordination with the Handicap
Chairman and she will assume the Play Day Chairman’s duties when necessary.

SECTION 6.  HANDICAP CHAIRMAN:  Shall maintain handicaps for all members in
accordance with USGA formula as provided by the Golf Handicap and Information
Network (GHIN).  She shall send the scores of all paid members to GHIN by the required
date and post all handicaps in the Graeagle Meadows Golf Course Clubhouse.

SECTION 7.  PWGA REPRESENTATIVE:  Shall represent this Organization at all
Association meetings or appoint a substitute to act in her absence.  She will keep this
Organization informed of all activities and tournaments sponsored by PWGA.

SECTION 8.  MEMBERSHIP CHAIRMAN:  Shall expand and promote the membership
of this Organization as well as welcome new members and stimulate their interest in
becoming active participants  in Organization activities.  She shall accept all
applications for membership for submission to the Board and shall appoint a Big Sister
for each new member, who will help the new member become oriented to Organization
tournaments and play day methods.  And she shall create and distribute a Roster of all
members which includes pertinent information about the Organization, its activities and

SECTION 9.  PLAY DAY CHAIRMAN:  Shall coordinate Thursday play days, except the
Invitational, Club Championship, Captain’s Cup and Eclectics.  She shall be responsible
for scoring information, pairings, starting times and scorers .

SECTION 10.  RULES & GREENS CHAIRMAN:  Shall decide all questions regarding
the application of the USGA Rules of Golf and local rules which may arise during a
competition, requesting assistance of the Club Professional, as needed.  She shall
determine the application of summer or winter rules in coordination with the Tournament
Chairman and shall post such information at all times in the Clubhouse.


The rules contained in “Robert’s Rules of Order Revised” shall be the authority.


Amendments to the By-Laws may be made by the members at any General Membership
Meeting by a majority vote of all votes cast, provided that written notice of the proposed
amendment shall have been posted at least thirty (30) days prior to the meeting.
